1. Legal Agreement

These Terms and Conditions (“Agreement”) govern your use of the Winngoo Accounting Software (“Software”), a digital product operated by Winngoo Ltd, a private limited company registered in the United Kingdom under company number 15464211 and having its registered office at 5, Martinbridge Industrial Estate, Lincoln Rd, Enfield EN1 1SP, United Kingdom.

By accessing, installing, or using the Software, the user (“you” or “User”) agrees to be bound by the terms set forth in this Agreement. If you do not agree with any clause herein, you must not use the Software.

2. Terminologies

"Software" refers to the Winngoo Accounting Software application, including all updates, modifications, APIs, and web and mobile interfaces; "Company" is Winngoo Ltd.; "User" is any individual, partnership, company, or other legal entity that uses the software; and "Personal Data" is defined as defined by the Data Protection Act of 2018 and the UK GDPR.

3. Grant of Licence

3.1 In accordance with this Agreement, the Company gives the User a limited, revocable, non-exclusive, and non-transferable license to access and use the Software only for internal book keeping and accounting purposes of the Company.

3.2 The User does not receive any ownership rights. The Company retains all rights not specifically granted.

4. User Responsibilities

4.1 The User consents to:

  • Provide accurate and legitimate financial information;
  • Preserve the privacy of login credentials;
  • Avoid using the Software for illegal, fraudulent, or unapproved purposes;
  • Ensure adherence to all relevant tax and financial laws, including those enforced by HM Revenue & Customs (HMRC).

4.2 The User is not permitted to:

  • Reverse-engineer, decompile, or disassemble the Software;
  • Alter, duplicate, or produce derivative works of the Software;
  • Rent,

5. Terms of Payment

5.1 Subscription fees specified in your service plan may be required to access the software's premium features.

5.2 Unless otherwise indicated, VAT is not included in any payments. Your access to the software may be suspended or terminated if you don't make payments on time.

6. Rights to Intellectual Property

6.1 Winngoo Ltd. is the sole owner of all intellectual property rights, including patents, trade secrets, trademarks, copyrights, and design rights in the software.

6.2 The User is not granted any rights other than those specifically stated in this Agreement.

7. Data security and privacy

7.1 The company will manage personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act of 2018.

7.2 The Company acts as a controller (if applicable) and/or data processor for the information collected and handled by the Software. Refer to the [Winngoo Privacy Policy] for comprehensive details on data handling practices.

7.3 The business must implement the appropriate organizational and technical safeguards to protect data availability, confidentiality, and integrity.

8. Assistance and Availability

8.1 Despite the company's best efforts to ensure the software runs continuously, access cannot be guaranteed to be error-free, timely, or uninterrupted.

8.2 Scheduled maintenance and updates may temporarily affect service availability.

9. Disclaimer of Warranties

9.1 The software is provided "as is" and "as available," with no warranties of any kind, whether explicit or implied, including but not limited to non-infringement, merchantability, or fitness for a particular purpose.

9.2 The company does not guarantee or represent the reliability and correctness of the accounting data generated by the software.

10. Limitations on Liability

10.1 To the fullest extent permitted by UK law, Winngoo Ltd, its affiliates, or its licensors shall not be liable to the User for any indirect, incidental, special, punitive, or consequential damages, including loss of data, profits, or revenue, resulting from the use or inability to use the Software.

10.2 The entire amount that the Company is liable for under this Agreement cannot be more than what the User paid for the Software during the 12 months prior to the claim.

11. Compensation

By violating these terms or abusing the software, the user agrees to indemnify, defend, and hold Winngoo Ltd. harmless from and against any and all claims, damages, liabilities, costs, and expenses.

12. Termination and Suspension

12.1 Should the User: • Violate any of the terms of this Agreement; • Engage in illegal or fraudulent activity; • Neglect to make timely payments, the Company may suspend or terminate access to the Software without prior notice.

12.2 All rights granted under this Agreement will immediately expire upon termination.

13. Governing Law and Jurisdiction

13.1 The interpretation and enforcement of these Terms shall be governed by the laws of England and Wales.

13.2 Any disputes arising in connection with these Terms shall be exclusively heard by the courts of England and Wales.

14. Modification

The Company may alter these terms at any time. Emails or in-app notifications will be used to notify users of major changes. Your continued use of the software after such changes indicates your acceptance of the updated Terms.

15. The capacity to separate

The remainder of this agreement will remain in full force and effect, and any clause found to be illegal or unenforceable under UK law will be removed.

16. Entire Agreement

This Agreement, together with the Privacy Policy and any applicable licence agreements or Service Level Agreements (SLAs), constitutes the entire understanding between the User and Winngoo Ltd.
